Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Hyax platform at hyax.com (the "Service") operated by Hyax ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

We support sign-in via email, Google, and GitHub. By using a third-party login, you authorize us to access basic profile information from that provider.

3. The Service

Hyax is a content creator platform that allows you to:

  • Create and publish content including blog posts, pages, courses, and digital products.
  • Sell products and memberships with integrated payment processing via Stripe.
  • Build and manage an audience with CRM tools, tags, and segmentation.
  • Send email marketing campaigns, automated sequences, and transactional emails.
  • Track analytics including page views, visitor attribution, and content revenue.
  • Host community forums and live chat.
  • Connect your own domain and customize your public-facing site.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Payments & Billing

For Creators (Sellers)

  • You connect your own Stripe account via Stripe Connect to receive payments from your customers.
  • You keep 100% of your product revenue, minus Stripe's processing fees and any applicable Hyax platform fees as described on our pricing page.
  • You are responsible for applicable taxes, refunds, and chargebacks on your transactions.
  • We may suspend your ability to process payments if we detect fraudulent or illegal activity.

For Buyers (Customers)

  • Payments for products, memberships, and courses are processed by Stripe on behalf of the creator.
  • Refund policies are set by the individual creator. Contact the creator directly for refund requests.
  • Subscription billing is recurring and will continue until canceled by you or the creator.

5. Content & Intellectual Property

Your Content

  • You retain ownership of all content you create and publish through the Service.
  • By uploading content, you grant us a limited, non-exclusive license to host, display, and distribute that content as necessary to operate the Service.
  • You are solely responsible for ensuring your content does not violate any laws or third-party rights.

Our Intellectual Property

  • The Service, including its design, code, features, and branding, is owned by Hyax and protected by intellectual property laws.
  • You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property or privacy rights of others.
  • Send unsolicited bulk email (spam) or misleading marketing communications.
  • Distribute malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Engage in any activity that disrupts or interferes with the Service.
  • Sell illegal products or services, or products that violate Stripe's acceptable use policy.
  • Collect personal information from others without their consent.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Email Marketing

  • You are responsible for compliance with applicable email marketing laws, including CAN-SPAM, GDPR, and CASL.
  • You must only send emails to people who have given appropriate consent.
  • All marketing emails sent through the Service must include a working unsubscribe mechanism.
  • We may suspend your email sending privileges if we detect high bounce rates, spam complaints, or other indicators of abuse.

8. Analytics & Tracking

  • The Hyax tracking script (hyax.js) collects page views, visitor identifiers, and attribution data on sites where it is embedded.
  • You are responsible for disclosing the use of tracking technologies to your site visitors and obtaining consent where required by law.
  • Analytics data is provided on an "as-is" basis and may not be perfectly accurate due to ad blockers, bot traffic, or other factors.

9. API Access

  • We provide API access for programmatic interaction with your Hyax account.
  • API keys are confidential and must not be shared publicly.
  • We may rate-limit or revoke API access if usage is excessive or abusive.
  • API functionality and endpoints may change with reasonable notice.

10. Third-Party Services

The Service integrates with third-party providers including Stripe, Google, GitHub, Resend, and others. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Hyax, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

14. Termination

  • You may delete your account at any time through the Service settings.
  • We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
  • Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Hyax is incorporated, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
